Feng Cheng is the founding partner at Topcom. She is experienced in advising clients in regions including government affairs and compliance, general corporate, dispute resolution, and mergers and acquisitions. 

Feng received her bachelor's and master's degrees in law from East China University of Political Science and Law and Chinese University of Hong Kong. She has represented clients in industries including consumer products, health care, and high technology. She has provided legal services for many MNCs in daily operation activities, participated and assisted in handling various compliance investigations in China. She also has experience in representing large corporates in complex dispute matters.

Provided legal services as an on-site secondee attorney to a medical device company headquartered in the U.S., including legal advice, contract review, and assistance with internal legal affairs approval;

Represented a state-owned enterprise in the food industry in a compliance investigation of price synergies between its subsidiaries and upstream suppliers, including coordinating with law firms and investigative agencies in the U.S. and Vietnam to conduct field investigations of suppliers' local plants;

Participated in a due diligence for a U.S. pharmaceutical company to investigate its partner incorporated in China in the license-in/out deal, with the due diligence scope including registration and operating status, product commercialization, taxation, and litigation;

Represented a domestic listed company that manufactures sodium hyaluronate and related products in a dispute with its manufacturing partner, resulting in a settlement between the parties;

Represented a world well-known healthcare food product company in a dispute with an e-commerce platform, resulting in a settlement between the parties;

Represented several companies in the healthcare industry in financing matters, conducting legal due diligence, drafting, reviewing, and revising investment documents, and participating in negotiations;

Represented an import & export trading company in handling an application for property freezing filed by the opposite party in a lawsuit and assisting the client in successfully lifting the freezing of its bank deposits by the court;

Represented a company incorporated in Shanghai (as the defendant) in filing a jurisdictional objection to a court in Shandong Province, successfully transferring the jurisdiction to the Pudong New Area District Court in Shanghai;

As the legal counsel of the sponsor(s), participated in the Hong Kong IPO projects of several companies in the healthcare industry;

Issued legal opinions on transaction approval procedures and other related matters for a proposed major asset sale project of a large state-owned enterprise and provided legal advisory services related to the transaction;

Represented a Hong Kong-listed company in several M&A projects in China, including conducting due diligence, drafting transaction documents, and participating in negotiations.
